Terms of Service

Only Single Deal is currently sold. Studio Pack and Team Control are unreleased roadmap packages. The operating agreement for SharpWave public commitment previews, automated deal-control packs, workspaces and customer-owned approval records.

Effective: 13 October 2026 · Version 2.3

SharpWave is a business decision-support service. These Terms are not a substitute for review by qualified counsel in your jurisdiction. The operator and transaction details shown on the Stripe checkout and receipt form part of each paid order.

1. Scope and acceptance

These Terms govern the SharpWave website, Free Public Commitment Scan, workspace, automated Controlled Deals, credit packs and related records. By using the free scan, placing an order, creating an account or using a paid output, you agree to the applicable policy version presented with that service.

You must be at least 18 and authorized to act for the business whose materials or public page you submit. SharpWave is designed primarily for business users preparing AI service Offers, proposals or RFP responses.

2. What SharpWave provides

  • The Free Public Commitment Scan reads one authorized, publicly accessible HTTPS sales page and returns up to three evidence-linked wording exposures to clarify in a private Offer. It is a limited preview, not a Controlled Deal.
  • Single Deal: 1 Controlled Deal usable for 30 days; Studio Pack: 5 total Controlled Deals usable for 90 days; Team Control: 25 total Controlled Deals usable for 30 days.
  • Each Controlled Deal covers one Offer or RFP and up to three complete document versions in total—V1 plus up to two re-reviews—through the same automated 13-dimension control engine.
  • The engine produces evidence-linked findings and compares document versions to identify whether previously reported BLOCKING conditions remain. This is document-based automation, not independent verification of outside facts.
  • Studio Pack and Team Control add the displayed organization-rule, credit-dashboard or team-governance capabilities; they do not add SharpWave human review.
  • A customer-owned MFA approval record and post-send outcome capture support an auditable control loop. Your own approver—not SharpWave—owns the external-send decision.
  • Controlled Deal Rate is calculated from customer-recorded sends, approvals and outcomes. It is an operating indicator, not a prediction or guarantee of commercial performance.

3. What SharpWave does not provide

SharpWave is an advisory control service. It is not a law firm, accounting firm, insurer, procurement authority or agent authorized to send, sign or approve a transaction for you. Output is not legal, tax, accounting, security-certification or regulatory advice.

  • The free scan does not access a backend, inspect source code, test cybersecurity, evaluate SEO or verify actual delivery capability.
  • No guarantee of award, sale, revenue, margin, payment, compliance or dispute-free delivery.
  • No promise that an AI-generated finding is complete or error-free.
  • No replacement for counsel or specialist review when the transaction requires it.
  • A customer approval record documents the customer’s decision; it does not make the underlying deal lawful or commercially successful.

4. Orders, credits and service start

An order is accepted only when a signed Stripe event verifies payment. The first Controlled Deal is included in—and allocated from—the displayed pack total; for example, a five-deal pack provides five deals in total, not five additional deals after the purchase order. Remaining credits can activate additional deals within the displayed validity period. Credits are not currency, cannot be transferred or resold, and expire at the end of that period.

A Controlled Deal begins when authorized material is submitted for automated processing. Re-review covers revised complete versions of the same buyer, service, commercial offer and decision; a different buyer, service or materially new opportunity requires another deal credit. Package, price, currency, total quantity and validity shown at checkout form part of the order.

5. Your materials and responsibilities

You retain ownership of materials you submit. You grant SharpWave and its service providers a limited right to host, process, reproduce and transform those materials only to provide, secure and support the service.

  • Submit only material you are authorized to disclose and process.
  • Remove unnecessary personal, regulated or third-party confidential information before submission.
  • Verify facts, figures, obligations, configured organization rules and suggested clauses before external use.
  • Protect your login and MFA factors, assign approver roles only to authorized people, and promptly report suspected account compromise.
  • Do not submit malware, illegal content, stolen data or material intended to harm another party.
  • Tell SharpWave promptly if the buyer changes the RFP, scope, price, deadline or evaluation criteria.

6. Automated review and customer approval

All current-package outputs are generated by automated systems and are not SharpWave human review or SharpWave approval. Findings depend on the submitted text, configured organization rules and model behavior; results may be incomplete or vary, and absence of a finding does not prove absence of risk.

The system may permit approval only against the latest completed version after its reported BLOCKING findings are closed and the customer approver passes MFA. That technical gate does not verify every outside fact, make the transaction safe or transfer responsibility to SharpWave. A later edit or changed buyer requirement can invalidate the record.

7. Delivery, versions and acceptance

An automated review is delivered when its structurally validated result becomes available in the workspace. Report a material factual or processing defect within seven calendar days with the order ID and affected finding.

The three-version allowance means one initial review and up to two full-document re-reviews for the same Controlled Deal. Unused versions do not become credits and cannot be transferred to another deal. The allowance is not a promise to rewrite the Offer, provide legal drafting, perform human consulting or accept a new opportunity under the same credit.

8. Fees, taxes and payment

Prices are shown before payment. You are responsible for applicable taxes unless checkout states they are collected. Payments are processed by Stripe or another processor identified at checkout; SharpWave does not receive your full card number.

Failed, reversed or disputed payment may suspend access. Refund eligibility is governed by the Refund Policy and non-waivable rights under applicable law.

9. Confidentiality and data

SharpWave will use reasonable safeguards and limit access to submitted materials to personnel and processors who need them to provide or protect the service. No internet service can promise absolute security. Data handling is described in the Privacy Policy.

Unless separately agreed in writing, do not submit information subject to special handling obligations such as protected health information, classified data, payment-card data, authentication secrets or data whose transfer to the listed processors is prohibited.

10. Intellectual property

SharpWave retains ownership of its software, templates, control framework, prompts, taxonomies and general know-how. After full payment, you may use your order-specific deliverables internally and in the transaction reviewed. You may not resell the platform, extract its rule system, bypass access controls or represent SharpWave methodology as your own product.

SharpWave may use aggregated operational statistics that do not identify you or reveal your materials. It will not publish your name, logo, documents or claimed result without permission.

11. Suspension and termination

SharpWave may suspend access for security threats, unlawful use, non-payment or material breach. You may stop using the service at any time; stopping does not create a refund right beyond the Refund Policy. Provisions concerning payment, intellectual property, confidentiality, disclaimers and liability survive termination.

12. Disclaimers and liability

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available.” SharpWave disclaims implied warranties that may lawfully be excluded. SharpWave is not liable for indirect, incidental, special or consequential loss, lost bids, lost profits or decisions made from a deliverable.

To the maximum extent permitted by law, SharpWave’s aggregate liability for a claim is limited to the amount paid for the affected order. This limit does not apply where liability cannot lawfully be limited, including fraud or wilful misconduct where applicable.

13. Changes, governing terms and contact

Paid checkout remains unavailable until the contracting entity, business address, governing law, dispute forum and support mailbox are verified.

Material changes apply prospectively and will be identified by a new version date. Mandatory local rights continue to apply. Do not send passwords, API keys or full payment-card details by email.
